Attorney Review Note

This is a pre-launch Terms of Use document scoped specifically to the recastcoach.ai landing page and waitlist data collection during the pre-launch period. It does not cover the live coaching platform. A separate, full platform Terms of Service must be drafted and presented for user acceptance before any individual receives access to the live RecastCoach.ai coaching platform. Counsel licensed in Nevada should review and finalize before publication.

1. Introduction and Scope

These Terms of Use (the "Terms") govern your access to and use of the website located at recastcoach.ai and recastcoach.com (collectively, the "Site"), operated during a pre-launch waitlist period by Recast Workforce Technologies, Inc., a Nevada corporation ("Recast," "we," "us," or "our"). Recast operates the RecastCoach.ai platform and brand.

During the pre-launch period, the Site is informational in nature and offers two functions: (a) collecting expressions of interest from individuals who wish to be notified of beta access or launch pricing for the forthcoming RecastCoach.ai coaching platform; and (b) collecting expressions of interest from state workforce agencies, government entities, and other organizations interested in learning about or partnering with the platform.

The Site does not provide career coaching, mental health services, or any interactive functionality with the platform's AI coach ("Meridian") during the pre-launch period. By accessing the Site or submitting information through any Site form, you agree to these Terms and to our Privacy Policy.

Pre-Launch Scope Limitation

These Terms govern only the landing page experience and the collection of interest-form information during the pre-launch period. Separate Terms of Service will be presented for review and acceptance prior to any individual receiving access to the live coaching platform. No live coaching, AI conversation, or platform service is provided through the Site at this time.

2. Eligibility

You must be at least 18 years of age to submit information through the Site. By submitting any form on the Site, you represent and warrant that you are at least 18 years old. If you are submitting information on behalf of a government agency, organization, or other entity, you represent that you are authorized to do so.

3. What the Site Is — and What It Is Not

The Site is a pre-launch informational website. The Site is not, and during the pre-launch period does not offer:

  • ✕Career coaching, employment counseling, or job placement services
  • ✕Mental health, psychological, psychiatric, therapeutic, or crisis intervention services
  • ✕Breathwork, stress management, or wellness programming of any kind
  • ✕Legal, financial, medical, or other professional advice
  • ✕Any guarantee, offer, or contract for future services, beta access, pricing, or platform availability

Information presented on the Site about the future RecastCoach.ai platform — including features, pricing concepts, program structure, the "Meridian" AI coach, and any program timelines — is descriptive of intent and subject to change. Nothing on the Site constitutes a binding commitment to provide any service or feature in any particular form.

4. Submission of Information

By submitting your name, email address, or any other information through a Site form, you:

  • ✓Confirm that the information you provide is accurate to the best of your knowledge
  • ✓Consent to Recast contacting you by email regarding the RecastCoach.ai platform, including notifications about beta access, launch timing, special pre-launch pricing, agency partnership opportunities, and related communications
  • ✓Acknowledge that submitting a form does not guarantee access to any future product, beta program, pricing tier, or service
  • ✓Agree to the handling of your information as described in our Privacy Policy

You may withdraw your consent and request deletion of your information at any time as described in the Privacy Policy.

5. No SMS or Text Messaging at This Time

During the pre-launch period, Recast does not collect telephone numbers and does not send SMS or text messages of any kind. If and when SMS communications become a feature of the live RecastCoach.ai platform, separate consent will be requested at that time in compliance with applicable telecommunications law (including the federal Telephone Consumer Protection Act). Your waitlist submission does not constitute consent to receive SMS or text messages.

6. No Service Relationship Created

Submission of an interest form does not create any contract, retainer, coaching relationship, agency relationship, fiduciary relationship, employment relationship, or other legal relationship between you and Recast beyond the limited contact and data-handling relationship described in these Terms and the Privacy Policy.

Any future service relationship between you and Recast will be governed by a separate set of Terms of Service that will be presented for your review and acceptance at the time you obtain access to the live platform.

7. Intellectual Property

All content on the Site — including the RecastCoach.ai name, the "Same you. Stronger story." tagline, the "Meridian" coach name, the Site design, copy, graphics, logos, and underlying code — is the property of Recast or its licensors and is protected by United States and international intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and view the Site for personal informational use. You may not copy, reproduce, modify, distribute, scrape, frame, mirror, or create derivative works from any portion of the Site without our prior written consent. Government agency representatives may, for the purpose of internal evaluation only, share Site links and printed copies of public-facing pages with colleagues within their agency.

8. Acceptable Use

You agree not to:

  • ✕Submit false, misleading, or fraudulent information through any Site form
  • ✕Submit information about another person without that person's authorization
  • ✕Use automated tools, bots, or scripts to submit forms or access the Site
  • ✕Attempt to gain unauthorized access to any portion of the Site or to any related systems or networks
  • ✕Use the Site for any unlawful purpose or in violation of any applicable law or regulation
  • ✕Introduce any virus, worm, malware, or other harmful code to the Site

9. Third-Party Links and Services

The Site may contain links to third-party websites or reference third-party services. Recast does not control and is not responsible for the content, accuracy, privacy practices, or availability of any third-party site or service. Your interactions with any third-party site or service are solely between you and that third party.

10. Disclaimer of Warranties

The Site is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, Recast disclaims all warranties, express or implied, including without limitation warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted or error-free operation. Recast does not warrant that the Site will be available at any particular time, that information on the Site is complete or current, or that any future product or feature described on the Site will be offered or offered on the terms described.

11. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Recast, its officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation damages for loss of profits, goodwill, employment opportunity, data, or other intangible losses, arising out of or relating to your access to or use of the Site.

To the maximum extent permitted by law, Recast's total cumulative liability arising out of or relating to the Site or these Terms shall not exceed one hundred U.S. dollars (USD $100). You acknowledge that this limitation is a fundamental element of the basis of the bargain between you and Recast.

12. Indemnification

You agree to indemnify, defend, and hold harmless Recast and its officers, directors, employees, agents, and contractors from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your access to or use of the Site; (b) information you submit through the Site; (c) your violation of these Terms; or (d) your violation of any applicable law or any rights of any third party.

13. Modifications

Recast may modify these Terms at any time by posting a revised version on the Site. The revised Terms will become effective upon posting. Your continued use of the Site after revisions are posted constitutes your acceptance of the revised Terms. The "Last Updated" date at the end of these Terms reflects the most recent revision.

14. Termination

Recast may, in its sole discretion and without notice, suspend or terminate your access to the Site at any time, including for any violation of these Terms. The provisions of these Terms that by their nature should survive termination — including Sections 7 (Intellectual Property), 10 (Disclaimer), 11 (Limitation of Liability), 12 (Indemnification), and 15 (Governing Law) — shall so survive.

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Nevada, without regard to its conflict-of-laws principles. Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Site shall be resolved exclusively in the state or federal courts located in Clark County, Nevada, and you irrevocably consent to the personal jurisdiction and venue of such courts.

Attorney Decision Point — Arbitration

Counsel should advise whether to add a mandatory arbitration clause and class action waiver in place of, or in addition to, the courts-of-Nevada provision above.

16. Miscellaneous

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Recast regarding your use of the Site during the pre-launch period and supersede all prior agreements and understandings on that subject. If any provision of these Terms is found unenforceable, the remaining provisions shall remain in full force and effect. Recast's failure to enforce any right or provision shall not constitute a waiver of that right or provision. You may not assign these Terms; Recast may assign them freely.
